AutoQube — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AutoQube mobile application, website, and related services (collectively, the "Service"), operated by AutoQube ("we", "us"). By creating an account, accepting these Terms in the app, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. What AutoQube Is — and What It Is Not

1.1 Software tool only. AutoQube is a software tool. It provides automation infrastructure that executes pre-built automation templates on your own cryptocurrency exchange account, according to parameters you configure. AutoQube is not a broker, dealer, exchange, custodian, fund, portfolio manager, or investment adviser.

1.2 No investment advice. Nothing in the Service — including automation templates, template descriptions, risk-profile labels (e.g. "conservative", "moderate", "aggressive"), notifications, or any other content — constitutes investment advice, a personal recommendation, a solicitation, or an offer to buy or sell any asset. Automation templates are pre-configured software settings, not recommendations.

1.3 All decisions are yours. You alone decide whether to connect an exchange account, which plan to subscribe to, which automation template(s) to activate, and how much capital to allocate (within plan limits). Each template’s leverage is a fixed, pre-configured template setting — disclosed before activation and never chosen or adjusted per user. You may stop all automation at any time using the stop control ("kill switch") available in the app. We exercise no discretion over your account and make no decisions on your behalf.

1.4 Template updates. The internal logic of automation templates may be refined over time as ordinary software updates. Such updates are applied uniformly to all users of a template and are never personalized to any individual account. A template's defining characteristics — instrument type (spot or futures), direction (long-only or long-short), and maximum leverage cap — change only with prior notice and, where required, renewed acceptance in the app.

2. Non-Custodial Operation

2.1 We never hold your funds. Your funds remain at all times in your own exchange account. AutoQube cannot deposit, withdraw, or transfer your funds and never takes custody of any asset.

2.2 API keys — withdrawal permission is refused. The Service operates through exchange API keys that you create and provide. API keys must have trading permission only. Keys with withdrawal/transfer permission are automatically rejected by the Service. You are responsible for configuring your API keys correctly and for revoking them at the exchange whenever you wish. While automation templates are active, you are responsible for keeping the provided API key valid and unchanged. If you delete, modify, or restrict the key at your exchange while templates are active or while template-opened trades remain open, the Service can no longer manage, monitor, or close those trades, and any resulting outcomes — including losses on unmanaged positions — are entirely your responsibility. To end automation safely, stop your templates (or use the kill switch) in the app before revoking the key or disconnecting.

2.3 Manual interference with template positions. AutoQube manages, monitors, and (upon your instruction) closes only the position size opened by an automation template, as recorded in its execution ledger. If you manually modify a template position on your exchange — including adding margin, increasing size, changing or cancelling orders, or opening additional positions on the same instrument and direction — the modified or added portion is not managed by the Service and remains entirely your responsibility. Disconnecting your API keys deactivates your automation templates and never closes positions; you are responsible for managing any open positions directly on your exchange.

2.4 Lifecycle of template-created orders. As part of executing an automation template you have activated, the Service may place protective take-profit and stop-loss orders on your exchange account for each template trade. These orders are created by the software under the template's pre-configured settings, and the Service keeps track of the specific orders it creates. When the corresponding template trade ends — whether through the template's exit trigger, your stop instruction, or a closure that occurs directly on the exchange — the Service cancels only the take-profit/stop-loss orders it created for that trade. This cancellation is a technical housekeeping step of the automation you activated; it is not discretionary account management, portfolio management, or advice. Orders you place yourself are never created, modified, or cancelled by the Service. If you cancel template-created protective orders at your exchange, the Service does not re-create them; you will be notified once that the trade is unprotected, the trade remains your responsibility per Section 2.3, and the template's exit trigger will still close the recorded trade size.

3. Eligibility and Geographic Restrictions

3.1 You must be at least 18 years old and legally capable of entering into a binding contract.

3.3 We enforce these restrictions through the eligibility declarations you make during onboarding, and we may additionally apply technical controls such as IP-based geolocation. Providing false eligibility information, or using VPNs or other means to circumvent geographic restrictions, is a material breach of these Terms and grounds for immediate termination.

4. Risk Disclosure

4.1 Trading cryptocurrency derivatives and spot assets involves substantial risk of loss and is not suitable for every person. You may lose your entire allocated capital — and, when leverage is used, losses can accrue rapidly.

4.2 No guarantee of performance. We make no representation or warranty regarding the profitability, performance, or outcome of any automation template. Past performance does not indicate future results. Hypothetical or historical behavior of any template is not a promise, projection, or guarantee.

4.3 Technical risk. Automated execution depends on third parties and infrastructure we do not control (exchanges, market-data providers, hosting providers, networks). Outages, latency, API errors, exchange failures, liquidations, slippage, and similar events can occur and can result in losses. The kill switch stops the opening of new positions; open template trades are closed only with your explicit confirmation.

4.4 You accept these risks by accepting the in-app Risk Disclosure, which forms part of these Terms.

5. Accounts

5.1 You must provide a valid email address and keep your account credentials secure. You are responsible for all activity under your account.

5.2 We may suspend or terminate accounts that breach these Terms, provide false eligibility information, or create legal or security risk for the Service or other users.

6. Plans, Subscriptions, Billing

6.1 Plans. Access to the Service is sold as a subscription plan. Current plans: Starter (USD 39/month), Pro (USD 99/month), Max (USD 299/month). Each plan grants (a) access to the software, (b) access to a cumulative set of automation templates, and (c) usage limits (number of concurrently active templates, capital allocation cap, maximum leverage). Plan contents and limits are described in the app and may be updated prospectively.

6.2 Payment is for the plan. Subscription fees pay for software access under a plan. Fees are never charged for, or calculated from, trading performance, assets, or profits. We never take a performance fee or a percentage of assets.

6.3 Beta period. During the beta period, plans are offered at USD 0 ("Free during beta"). All plan features, template access rules, and limits apply during beta exactly as in the paid service. We may end the beta period with reasonable notice, after which continued access requires a paid subscription.

6.4 Early Member discount. Selected beta participants ("Early Members") receive a 50% discount on subscription fees after paid launch. The discount is tied to the specific AutoQube account it was granted to, is non-transferable, and applies for as long as that account maintains an uninterrupted paid subscription, unless otherwise stated at grant time.

6.5 Cancellation. You may cancel at any time; access continues until the end of the paid period. Except where required by law or by app-store policy, fees already paid are non-refundable. Purchases made through the Apple App Store or Google Play are governed additionally by the respective store's terms and are cancelled/refunded through the store.

6.6 Price changes apply prospectively from the next billing period, with prior notice.

6.7 Plan changes. Upgrades take effect immediately; unused time on your current plan is credited pro rata against the new plan's fee. Downgrades take effect at the end of the current billing period; automation templates not included in the new plan are stopped at the switch, and any open trades they hold are closed at market only with your confirmation. During the beta period, all plan changes take effect immediately.

7. Acceptable Use

You agree not to: reverse engineer, copy, resell, or sublicense the Service; interfere with its operation or security; use it for market manipulation or any unlawful activity; misrepresent your identity, location, or eligibility; or share account access with restricted persons.

8. Intellectual Property

The Service, including automation templates, software, and branding, is our property or that of our licensors. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use while subscribed.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of Liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE, INCLUDING LOSSES CAUSED BY AUTOMATION TEMPLATES, EXECUTION, DELAYS, OUTAGES, EXCHANGE FAILURES, OR THIRD-PARTY SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnity

You will indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your trading activity, or your violation of law or third-party rights.

12. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes will be notified in the app or by email, and continued use after the effective date constitutes acceptance. Where we require re-acceptance (e.g. a new document version), automation may be paused until you accept.

13. Termination

You may stop using the Service and delete your account at any time (subject to Section 6.5). Upon termination, your exchange API keys are deleted from our systems (see Privacy Policy) and all licenses granted to you end.

14. Governing Law and Disputes

The governing law and dispute forum for these Terms will be designated when the operating company completes incorporation, and will be communicated through an updated version of these Terms (see Section 12, Changes to the Service or Terms). Until then, these Terms apply to the free beta as written, and nothing in them deprives you of any mandatory protection afforded by the laws of your country of residence.
